1. Agreement to these terms

These terms are an agreement between you and OBT Systems ("OBT", "we", "us"), the maker of Optivan, a desktop platform for design optimization. By requesting a beta license, purchasing a subscription, installing a license file, or using the software, you agree to these terms. If you use Optivan on behalf of a company, you confirm that you have authority to bind that company, and "you" means the company.

2. The software

Optivan is installed and runs on your own machines. It performs its work locally or on compute resources you control. The software does not send your models, data, or results to us. Downloads and license files are delivered by email through personal links intended for you alone.

3. Licenses and license files

Access to Optivan is granted through signed license files. Subject to these terms and to payment of any applicable fees, we grant you a personal, limited, revocable license to install and use Optivan for your internal business or research purposes. One license file covers one seat unless the file states otherwise.

You may not share, publish, sell, rent, or otherwise distribute the software, your download links, or your license files. You may not reverse engineer, decompile, or modify the software or its licensing mechanism except where the law expressly permits it despite this limitation. A license file remains valid until the expiry date written inside it.

Monthly subscription licenses are issued in short validity periods and refresh themselves over the internet while your subscription is active; the only information sent is the license file itself. Optivan therefore needs an internet connection at startup at least once every seven days on a monthly plan. Yearly and beta licenses are fully offline files and never contact our servers.

4. Free beta

The free beta gives you a 30 day license at no charge. Beta requests are reviewed and approved individually, and we may approve or decline any request at our discretion. The beta program, its scope, and its availability may change or end at any time. Beta software is provided for evaluation and may contain defects.

5. Paid subscriptions and billing

The Pro subscription is offered at 99 US dollars per month or 999 US dollars per year. Prices are in US dollars and exclude any taxes that may apply to you. Payments are processed by Stripe; we do not store your card details.

6. Cancellation

You can cancel at any time through the billing portal linked from obt.tools and from your emails. Cancellation stops future renewals. Your access continues until the end of the period you have paid for, after which your last license file expires on the date written inside it.

7. Refunds

Except where required by law, fees already paid are not refundable once a billing period has started. If you believe something went wrong with a charge, contact us at n8@obt.tools and we will look at it personally.

8. Acceptable use

You agree not to use Optivan to break the law, to infringe the rights of others, or to develop a competing product by copying its design or behavior. You agree not to probe, overload, or interfere with the services that deliver downloads, licenses, or support.

9. Intellectual property

Optivan, its algorithms, its documentation, and the obt.tools services are owned by OBT and protected by intellectual property law. These terms grant you a license to use the software; they do not transfer any ownership. All rights not expressly granted are reserved. You keep all rights to your own models, data, and results.

10. Privacy

To provide licenses we store the name, email address, and company you give us, together with basic records of issued licenses and subscription status. Payment details are handled by Stripe under their own terms. We use your email address to deliver downloads, licenses, and service messages. We do not sell your data.

11. Engineering disclaimer

Optivan assists engineering exploration and optimization. It does not replace engineering judgment. You are solely responsible for validating any result, design, or decision produced with the software before relying on it, and for meeting any regulatory, safety, or certification requirements that apply to your work. We make no promise that any output is fit for a particular engineering purpose.

12. Disclaimer of warranties

Optivan and the obt.tools services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the software will be error free or uninterrupted. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, OBT will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to these terms or the software, even if advised of the possibility. Our total liability for all claims combined is limited to the amount you paid us in the twelve months before the event giving rise to the claim, or 100 US dollars if you have paid nothing. Nothing in these terms excludes liability that cannot be excluded by law.

14. Termination

We may suspend or terminate your access if you materially breach these terms and do not cure the breach within a reasonable time after notice, or immediately for serious breaches such as license sharing or redistribution. You may stop using the software at any time. Sections 9 and 11 through 16 survive termination.

15. Changes to these terms

We may update these terms from time to time. The current version always lives at obt.tools/terms, with the date above. For material changes affecting an active subscription we will give notice by email before the change takes effect. Continued use after a change takes effect means you accept the updated terms.

16. Governing law and disputes

These terms are governed by the laws of the jurisdiction in which OBT Systems is established, without regard to conflict of law rules, and disputes will be resolved in the courts of that jurisdiction. Before starting any formal dispute, you agree to contact us and give us a reasonable opportunity to resolve the matter informally.
